  1. Legal Entity

These terms and conditions apply to Rope Source Limited, trading as James Lever & Sons ("we", "us", "our"). Registered in England & Wales. Company Number: 08441149.

 

  1. Scope of Terms

These terms apply to all sales of goods supplied by us, whether orders are placed:

  • via our website;

  • by email;

  • by telephone; or

  • in writing.

Unless expressly agreed otherwise in writing, these terms override any customer terms and apply to all contracts between us and the customer ("you").

 

  1. Business Customers

We trade primarily on a business-to-business (B2B) basis. By placing an order you confirm that you are acting in the course of a business and not as a consumer, unless expressly agreed otherwise.

 

  1. Quotations and Orders

All quotations are non-binding and subject to availability. Orders are accepted only when confirmed by us in writing (including email) or when goods are dispatched.

We reserve the right to decline or cancel any order prior to dispatch.

 

  1. Prices

Prices are quoted exclusive of VAT unless stated otherwise. VAT and any applicable delivery charges will be added at the prevailing rate.

Prices are subject to change without notice. Prices confirmed at the time of order acceptance will apply.

 

  1. Payment Terms

Payment terms are as agreed at the time of order. Unless otherwise stated, payment is due in full prior to dispatch.

We reserve the right to suspend supply where payment terms are not met.

 

  1. Delivery

Delivery dates are estimates only. Time for delivery is not of the essence.

Risk in the goods passes to you on delivery. Title to the goods remains with us until payment is received in full.

 

  1. Inspection and Shortages

You are responsible for inspecting goods immediately upon delivery.

Any shortages, damage or discrepancies must be reported within 48 hours of delivery. Failure to notify us within this period will be deemed acceptance of the goods.

 

  1. Returns

Goods may not be returned without our prior written agreement. Any approved returns must be in unused condition and may be subject to a restocking charge.

 

10. Specifications and Product Information

Product descriptions, images and specifications are provided for guidance only. Variations may occur due to manufacturing tolerances or supplier changes.

 

11. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to this, our liability is limited to the value of the goods supplied. We are not liable for indirect, consequential or economic loss, including loss of profit or business.

 

12. Force Majeure

We shall not be liable for failure or delay caused by events beyond our reasonable control, including but not limited to supply chain disruption, labour shortages or transport issues.

 

13. Intellectual Property

All intellectual property, including trademarks, branding and content, remains our property and may not be used without prior written consent.

 

14. Governing Law

These terms are governed by the laws of England & Wales. The courts of England & Wales shall have exclusive jurisdiction.
